These Terms and Conditions (“Terms”) govern your use of the website, tools, services, and features (collectively, the “Services”) provided by Cataro Technology, LLC DBA ScholHawk (“ScholHawk,” “we,” “us,” or “our”). By accessing or using any part of our site or services, including creating an account, subscribing to a plan, or interacting with any scholarship content, you accept and agree to be legally bound by these Terms, our Privacy Policy, and any other agreements referenced herein. If you do not agree, you must not access or use the Services. We may update these Terms at any time. Your continued use of ScholHawk after changes are posted constitutes your acceptance of the revised Terms.

1. Eligibility and Scope of Use

You must be at least 16 years old to use our Services. If you are under 18, you may only use the Services with permission from a parent or legal guardian. You agree not to use the Services for unlawful purposes, in violation of any applicable laws, or in a manner that may damage or impair ScholHawk or interfere with another user’s access. We reserve the right to deny or revoke access for any reason at our sole discretion.

2. Account Registration and Access

To access certain features, you may be required to create a user account. You are responsible for providing accurate and complete information during registration and maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account and agree to notify us immediately of any unauthorized use or security breach. ScholHawk is not liable for losses caused by unauthorized account access.

3. Description of Services

ScholHawk is a subscription-based platform that provides access to curated scholarship opportunities, eligibility-based matching, deadline tracking tools, and other resources intended to support students and individuals seeking educational funding. ScholHawk does not guarantee that any user will receive a scholarship or financial aid, nor are we affiliated with most scholarships listed unless otherwise stated. We rely on third-party data and cannot guarantee the accuracy or completeness of external information.

4. Subscription Plans, Billing, and Refund Policy

By subscribing to ScholHawk’s services, you agree to pay all applicable fees at the rates disclosed during checkout. Our Basic Plan is billed monthly in USD and renews automatically until canceled by the user. We may change pricing with at least 30 days’ notice via email or on-site notice. Unless otherwise stated, all payments are final and non-refundable. If you cancel during a billing cycle, your access continues until the end of that period. If you do not access your account during the current billing period, you may request a one-time refund for that billing cycle, which we may grant at our discretion. You are responsible for keeping your payment method current. Failure to update payment information may result in suspension of Services.

5. User Conduct and Acceptable Use

You agree not to use the Services to impersonate any individual, misrepresent your affiliation with any person or organization, upload harmful software, reverse-engineer or scrape the platform, or violate any applicable law. You may not attempt to gain unauthorized access to any part of the system or circumvent platform limitations. You may not interfere with the use of the platform by other users. We may suspend or terminate your access at any time if we determine that your conduct violates these Terms or is otherwise harmful to ScholHawk or its users.

6. Intellectual Property

All content, branding, features, and functionality on the ScholHawk website and within the Services, including but not limited to text, graphics, logos, icons, code, and trademarks, are the intellectual property of Cataro Technology, LLC or its licensors and are protected by copyright and trademark laws. You may not reproduce, distribute, publicly display, or create derivative works without express written consent.

7. Submitted Content

By submitting scholarship essays, personal statements, testimonials, or any other user-generated content, you grant ScholHawk a worldwide, royalty-free, perpetual license to use, reproduce, publish, modify, and display such content for purposes including marketing and service improvement. You affirm that any content you provide is accurate and does not infringe the rights of any third party.

8. Data Collection and Privacy

Your use of ScholHawk is subject to our Privacy Policy, which outlines how we collect, use, and share your information. By using the platform, you consent to our data practices. We may share anonymized, de-identified data with third parties for research or analytical purposes. We do not sell your personal data to third-party advertisers.

9. Sponsored Listings and Promotions

ScholHawk may feature scholarships that have been promoted by partners. These sponsored listings may appear more prominently but are not endorsements. If we run any sweepstakes or giveaways, they will be governed by separate official rules. We may receive compensation for highlighting or featuring certain scholarships.

10. Auto-Apply Features

If available and opted into by the user, ScholHawk may offer an Auto-Apply feature that submits your application information to third-party scholarships. By using this feature, you authorize us to act on your behalf to transmit your data. We do not guarantee submission, eligibility, or award outcomes. You are responsible for verifying all details related to any Auto-Apply actions.

11. Suspension and Termination

We may suspend or terminate your account at any time without prior notice if we believe you have violated these Terms or misused the platform. Upon termination, your right to use the Services immediately ceases, and any data associated with your account may be deleted. ScholHawk is not liable for any loss resulting from suspension or termination.

12. Disclaimer of Warranties

The ScholHawk platform and all associated Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee uninterrupted access, that content will be error-free, or that you will receive any scholarships by using the Services. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law, Cataro Technology, LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of ScholHawk. Our total aggregate liability to any user shall not exceed the greater of the amount paid to us in the six months prior to the claim or one hundred dollars ($100).

14. Indemnification
You agree to indemnify, defend, and hold harmless Cataro Technology, LLC, its affiliates, officers, directors, employees, and partners from any claim, demand, damages, loss, or expense arising from your use of the Services, your content, or your violation of these Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Commonwealth of Virginia without regard to its conflict of law principles. Any dispute arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Fairfax County, Virginia. You consent to the jurisdiction and venue of such courts.

16. Changes to the Terms

We may modify these Terms at any time. If we make material changes, we will notify users by email or via notice on the platform. Your continued use of ScholHawk after such changes take effect constitutes your acceptance of the revised Terms.
